Barbeques Galore Pty Ltd

(Collectively “the Group” or “Barbeques Galore”) refer to the schedule of associated entities provided within ‘Creditor Resources’ below.

On 12 February 2026, Phillip Campbell-Wilson, Lisa Gibb and Matthew Byrnes
of Grant Thornton Australia Limited were appointed Voluntary Administrators of 15 companies in the Barbeques Galore Group.

Quentin Olde, Liam Healey and Luke Pittorino of Ankura were thereafter appointed Joint and Several Receivers and Managers (“Receivers”) on
12 February 2026.

At the Second Concurrent Meeting of Creditors held on 22 May 2026, creditors resolved that the Companies execute a proposed Deed of Company Arrangement (“DOCA”). Prior to execution, the DOCA was subject to a number
of conditions precedent, including 1903 Partners LLC securing acceptable commercial trading arrangements with key suppliers and landlords going forward.

Following negotiations, those conditions were not capable of being satisfied.
As a result, the DOCA was not able to be executed and the Companies are taken to have passed a special resolution that they be voluntarily wound up, with Phillip Campbell-Wilson, Lisa Gibb and Matthew Byrnes of Grant Thornton Australia Limited appointed Joint and Several Liquidators of the Companies on 16 June 2026.

During the Liquidation, the Receivers (Ankura) will remain in control of the business and continue to trade the Group while running a stock disposition strategy through the Company-owned stores and pursuing potential sale opportunities. 

During the Liquidation, the Liquidators (Grant Thornton) will continue to deal with unsecured creditors, attend to statutory lodgements, conduct further detailed investigations into the affairs of the Companies, and report to creditors within three months of their appointment.
